HerPractice® Shop Terms & Conditions (Updated & Fortified)

1. Acceptance of Terms

By purchasing or accessing any digital products, including but not limited to downloadable templates, guides, frameworks, workshops, audio trainings, and any other digital content ("Digital Products") from the HerPractice® Shop, you ("User" or "You") acknowledge and agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you are prohibited from purchasing, accessing, or using the Digital Products in any way.

2. Definitions

  • "Digital Products": Any downloadable or digital content, including templates, guides, best practices, educational materials, courses, masterclasses, and related media.
  • "User" or "You": Any individual or entity that purchases, downloads, or accesses Digital Products from the HerPractice® Shop.
  • "HerPractice®": Refers to the brand, company, and intellectual property owner of all Digital Products and content provided through the HerPractice® Shop.

3. License & Permitted Use

Upon purchase, HerPractice® grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Digital Products solely for your personal and professional development as a chiropractor under the following conditions:

  • Use the Digital Products for your own individual business purposes only.
  • Implement the strategies and systems for your own chiropractic practice.

🚫 You MAY NOT:

  • Share, distribute, transfer, resell, sublicense, or allow any other person or business to use the Digital Products, whether for free or for a fee.
  • Copy, reproduce, modify, translate, or create derivative works based on the Digital Products.
  • Repurpose, adapt, or extract any part of the Digital Products to create your own competing products, courses, templates, or resources.
  • Upload, share, or make the Digital Products available in any public or private forum (e.g., social media, Google Drive, Dropbox, email lists, or online groups).
  • Use any portion of the Digital Products to train, consult, or educate others in chiropractic business strategy or marketing unless you have explicit, written permission from HerPractice®.
  • Remove or alter any proprietary notices (including copyright and trademarks) on the Digital Products.

🚨 Violation of these Terms will result in immediate revocation of access to purchased materials, potential legal action, and a claim for damages. 🚨

4. Digital Product Ownership & Intellectual Property

All Digital Products, including but not limited to content, graphics, branding, frameworks, logos, and materials, are the sole intellectual property of HerPractice® and are protected under U.S. and international copyright, trademark, and intellectual property laws.

  • Purchasing a Digital Product does not grant you ownership of any intellectual property.
  • You cannot claim these materials as your own or represent them as your original work.
  • We actively monitor unauthorized use, copying, or redistribution. Violators will be pursued to the fullest extent of the law.

5. Payment, Pricing & Delivery

  • All Digital Products must be paid in full at the time of purchase. No partial payments, payment plans, or deferred payments are available unless otherwise specified.
  • All sales are final (see Refund Policy below).
  • Upon successful payment, You will receive access to the Digital Product via email or an online portal.

6. No Refunds & Cancellation Policy

  • Due to the digital nature of our products, all sales are final. No refunds, cancellations, exchanges, or returns will be provided under any circumstances.

7. Legal Enforcement & Breach of Terms

HerPractice® actively monitors for unauthorized sharing, copying, or redistribution of its Digital Products.

If a violation of these Terms is detected:

  1. Immediate Access Termination – Your access to all Digital Products will be revoked without notice.
  2. Legal Action – You will be subject to copyright infringement penalties, including but not limited to:
    • Cease and desist orders.
    • Legal claims for damages.
    • Financial penalties up to the full value of lost revenue from unauthorized distribution.
  3. Blacklist & Future Purchase Ban – You will be permanently prohibited from purchasing any HerPractice® products or services.

8. Disclaimers & Limitation of Liability

  • HerPractice® makes no guarantees of financial success or business results from using Digital Products. Your results depend on your unique circumstances, effort, and application of the material.
  • We do not provide legal, financial, or tax advice. Any business decisions made based on HerPractice® materials are done at your own risk.
  • In no event shall HerPractice® be liable for any indirect, incidental, special, or consequential damages arising from the use of the Digital Products.

9. Changes to Terms & Product Updates

HerPractice® reserves the right to modify these Terms at any time. Continued use of the Digital Products after any such changes constitute Your acceptance of the updated Terms. We also reserve the right to modify or discontinue any Digital Products without notice.

10. Governing Law & Dispute Resolution
